These Terms & Conditions (“Terms”) govern your use of the Designs to Deploy website (designstodeploy.ca / designstodeploy.ca) and any services we provide. By accessing our website or engaging our services, you agree to these Terms.

Designs to Deploy is a web design and IT services company based in Canada (“we”, “us”, “our”). Our clients and website visitors are referred to as “you”.

1. Services

Designs to Deploy provides website design, web development, and related IT services to small businesses and startups. Specific deliverables, timelines, and pricing for any engagement are defined in a separate **Statement of Work (SOW)** or **Service Agreement** signed by both parties.

These Terms apply to general website use. Client-specific terms (payment, revisions, timelines) are governed by your individual Service Agreement.

2. Website Use

You agree to use our website only for lawful purposes. You must not:

  • Use the site in any way that violates applicable Canadian or local laws
  • Transmit unsolicited commercial messages (spam)
  • Attempt to gain unauthorized access to any part of our systems
  • Reproduce, distribute, or republish any content from this site without our written permission

We reserve the right to restrict or terminate access for any user who violates these Terms.

3. Intellectual Property

Client work

For work delivered under a client Service Agreement:

  • **Upon receipt of full payment**, we assign ownership of the final deliverables (e.g., custom design, code) to the client.
  • We retain the right to display completed work in our portfolio unless the client requests otherwise in writing.
  • We retain ownership of any tools, frameworks, templates, or reusable components developed independently of your project.
  • Third-party assets (stock photos, fonts, plugins) are subject to their respective licenses; we will identify any such assets in the project deliverables.

4. Payment (General)

Specific payment terms are in your Service Agreement. Generally:

  • A deposit is required before work begins
  • Final payment is due before delivery of completed files or site launch
  • Late payments may result in work being paused
  • We are not liable for delays caused by late payment

5. Limitation of Liability

To the maximum extent permitted by Canadian law:

  • Our total liability for any claim arising from our services is limited to the amount you paid us for the specific project giving rise to the claim.
  • We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we were advised of the possibility of such damages.
  • We are not liable for issues caused by third-party services, hosting providers, plugins, or platforms outside our control.

Nothing in these Terms limits liability for gross negligence, fraud, or where limitation is prohibited by law.

6. Indemnification

You agree to indemnify and hold harmless Designs to Deploy, its founders, and contractors from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of our website or services
  • Content you provide to us that infringes a third party’s intellectual property or other rights
  • Your violation of these Terms

7. Disclaimer of Warranties

Our website and services are provided “as is.” We make no warranties, express or implied, including:

  • That the website will be uninterrupted or error-free
  • That any results achieved from our services will meet specific business outcomes
